PC freezing up....?

..... Win XP home (512ram) AMD 64 - 2.4 processor ....

I keep getting an intermittent total freeze... my screen just freezes and my
mouse does nothing... CTRL/ALT/DEL does nothing...only way is to press RESET
and do warm boot.....

I've tested for m/board /cpu /HD temperatures and AOK...

Today I put in 512meg of brand new ram to replace old and put in brand new
128 meg ATI graphics card..

... all worked well until i decided to burn a music CD -- froze up on track
3 (converting MP3 to WAV - not the actual CD burning..)

It often freezes doing CD burning but can freeze at any time....
printing/browsing/just running software..... driving me nuts......

Could it be the PSU ??? (350watt) ??? - or am I just throwing good money
after bad by replacing it.....?????

Any other ideas as to what it might be......?????

Have reinstalled WinXP - chkdsk/defrag aok... no conflicts....!!!!
