I use PWP as a free tool to manage my passwords. It has worked very
nicely on Win 98 and ME. These two computers are in separate geographic
location and when going back and forth all I had to do was just copy the
password file from one to the other. When I tried it with XP, I
couldn't get the password transfer to work. Although, when PWP was set
up in XP, I could enter new data...just could retrieve my old PWs. Any
suggestions?

What does the vendor of the software have to say? They wrote it, check with
them.

It was freeware that was pretty old. I have noticed that they now put
out a pay-for updated edition. But I haven't checked with them.

Use a password utility that works in XP.
