Outlook process does not end when exiting Outlook 2003

Outlook 2003 on Windows XP Pro. When exiting(closing) Outlook the app closes
down and disappears from the screen however the OUTLOOK.exe process in task
manager, processes does not end thus causing Outlook not to open when
executing the app. If I kill the process manually (end process) in task m
anage then Outlook will open properly. I have repaired Outlook and
reinstalled it as well. Same problem. Email account is with Exchange Server
on a domain and there is only one profile established. I removed the profile
and re-created it but still same issue. Seems that if I login locally and run
Outlook this is not an issue. Any suggestions

Any 3rd party applications installed that use/sync/protect Outlook data?
(e.g. WinFax, ActiveSync, ICQ, .etc)
