Outlook.exe still in processes

I'm sure this problem has already been addressed here somewhere but with
13,000 posts I can't seem to find it. I have a small business that has
three machines ((2) Windows XP SP1, (1) Win 2K SP4, all with Office 2K SP
3), and all look to the same .pst file located on one of the machines( a Win
XP machine). Now I understand that with this set up, only one machine can
have Outlook open at any given point, and I'm fine with that. But it seems
that, upon exiting, it doesn't quit all the way, Outlook.exe is still
hanging out in the processes list, although you wouldn't know it because the
screen "Please wait while Outlook Exits" doesn't hang, but flashes at you
and disappears. This doesn't happen on any one machine in particular, but
on all three, and it is not constant, sometimes it exits properly while
other times it doesn't. Any ideas???

Well, it has been asked and answered thousands of times.
But it seems that, upon exiting, it doesn't quit
all the way, Outlook.exe is still hanging out in the processes list,

You have another program, like WinFax or ActiveSync keeping Outlook open.
Find that program and your problem will be solved.

Sure. Disable Outlook integration and see. You won't be any less safe,
provided you keep the real-time scanner operational.
