Outlook.exe process does not quit

Sometimes I find after exiting the Outlook program, the
outlook.exe process continues to run (and download mail).
The only way to stop the process is using Task Manager. I
am running Outlook 2002 SP3, although the same behavior
has happened to me with OL 2002 SP1 on a different
computer, too. Has anyone else seen this, know why it is
happening and how I can prevent it?

Are you running software that integrates with Outlook? Programs like a
virusscanner, fax software or synchronisation software can cause Outlook not
to close properly.

That article is a big help, thanks. I think it's the fact
that my PDA is in its cradle and ActiveSync is running.
