Outlook 2003 uses 98-99% of CPU

I am running Win2k Pro SP4, Office 2003 SP1 with all the latest updates as of
yesterday. I run a VPN to connect to an Exhange Server, and also have a
POP3. I do not have Messenger installed/checked. I have exited my A/V
(McAfee) software, and with no better results. If I bring it up without the
VPN, and Offline it still uses 98-99% of the CPU, according to Task Manager.
I also do not use Word to reply to email. So it doesn't matter what I do
it always uses the same amount of CPU. BTW, Outlook 2003 runs very well, but
anything outside of Outlook runs like crap, and sometimes I have to exit
Outlook to run other software.

I upgraded from Office 2000, which never had this problem.

If anyone cares, here is what I have found. My Outlook 2003 Pro runs at 0%
until a email is either sent or received, and then it immediately goes to
98-99%, and stays there forever slowing any other task I attempt to run,
including IE, which makes surfing unbearable.

I have followed all the instructions @
http://www.howto-outlook.com/faq/outlookdoesntstart.htm and nothing there
has been able to resolve this problem.

If noone can help me on the above problem, perhaps someone can tell me how
to uninstall 2003, and go back to Outlook 2000 Pro, and still retain all my
contacts and saved email? I hate giving up on 2003, I really like it, but I
hate starting and stopping Outlook all day long, just to get some work done.
