No Beeps/System powers down after 6 seconds

New system build based on Intel D945PSN and 3.60Ghz Intel P4 Socket 775
processor. System switches on but then shuts down after approximately 6
seconds. No P.O.S.T. beep codes or anything else to indicate problem.

Original Motherboard was D.O.A. so this is a replacement one direct from
the supplier.

When I built the system with the new board last night it powered up fine
and I got half way through installing the O.S. when it shut down, I then
powered it back up and it gave me 4 alternating P.O.S.T. beeps which
when looked up means "thermal warning". Opened up system and checked
all connectors, checked that processor fan was functioning correctly,
checked for airflow obstructions as per:
http://www.intel.com/support/motherboards/desktop/d945psn/ and found
nothing. Left it a while, powered it back up fine and tried installing
O.S. again but it powered down after about the same interval as last
time and when I restarted gave the same thermal warning code.

Now this morning when I tried to power up the system as I said it powers
up for approximately 5-6 seconds then shuts off with no beeps or anything.

Any ideas greatly appreciated guys!!!

I've had that happen with bad ram, or unseated ram. Reseat the
ram and make it "snap" ... or it is not seating well. Still, I've
had that happen more with bad mobos right out of the box.
Almost sounds like you are buying from a vendor who sends
out refurbs for RMA replacements. THAT has happened to me
for the last time. What I do now, is use red fingernail polish
and mark the RMA in a small spot. If I get it back, they get
a phone call. Only other thing I can think of ... that is simple
.... is, did you remove the tape off the fan heatsink? Sometimes
they use a clear tape you can't see, and it is right over the
thermal paste. Still, that should have sounded off within
about 30 seconds. If you can't get to tech support at your
vendor, then take the mobo out of the case .. and the psupply
.... and see if it posts that way. At least it is easier to swap
parts around, and nothing is shorted to the case ... like a standoff
in the wrong place under the mobo ... or a screw that wiggled
under there. Sounds like another RMA refurb to me.

Recheck the CPU cooler. I often find that when you push down the 4th
locking catch, the one opposite pops up. You have to keep pushing them down
until they all stay down.
Check the BIOS settings on hardware monitor, make sure you do not have too
low a shutdown temp, 3GHz P4s run pretty hot, 50 -55C.
