New MoBo and XP rebooting problems (longish)

I have recently purchased and installed an ASRock K7S8X
mobo with an AMD 2600 barton processor and 256mb ram.
To cut a *very* long story short, I had endless problems
installing xp culminating in the installation failing with
a number of error messages including page faults and
unable to load certain files off the cd.
I gave up, reinstalled my old mb and installed windows xp
successfully. I then reinstalled the new mb and the memory
and the pc reboots continuously after the list of devices
etc.
I assumed the mb was faulty, returned it to the vendor and
was given another one but this is having exactly the same
problem.
I have tried the memory in my son's PC which has win ME
and it works fine.
Anyone any ideas where I can go from here? I can't find
any reference to possible incompatibility on the ASRock or
microsoft web site.
Help! Its 6 weeks since I bought this mobo and I have
virtually no hair left!

Have you tried resetting jumper 4? (the set/clear CMOS setting)

CLEAR cmos then back to NORMAL setting?

OK, I could do that - but I did have severe problems when originally
attempting to do a clean install: I have formatted the HDD 5 times so
far...!

Greetings --

Problems copying files or corrupted files during installation are
most often caused by defective or sub-standard hardware; in order of
likelihood, either RAM, the hard drive, or the motherboard. On much
less frequent occasions, a bad CD or defective CD drive can also cause
this.

Normally, and assuming either a retail license or a generic
(non-branded) OEM license, unless the new motherboard is virtually
identical to the old one (same chipset, same IDE controllers, same
BIOS version, etc.), you'll need to perform a repair (a.k.a. in-place
upgrade) installation, at the very least:

As always when undertaking such a significant change, back up any
important data before starting.
