I m getting below error on win2k server.

msxml3.dll error 'c00ce509'
system error 1072896759

how to solve

What is happening when you get the error? How is the error being displayed
(pop-up, event log, etc.)?

You can try upgrading your msxml to the latest version:
http://msdn.microsoft.com/xml or via Windows Update.
