MSASCui.exe error on shutdown , memory cannot be read.

I get this at EVERY shutdown and or restart , why?

Vista 32bit , running with np's since Feb 08

NO adaware installed , running AVG 8.0 Pro and no issues there either

came out of nowhere

Thanks Engel , I actually Googled it and had read most of those sites that
sounded like my problem BUT must have missed the one that refered to forcing
Defender to update to the latest update which took me here:

http://www.microsoft.com/security/portal/ADL.aspx#top

after downloading the updater and running it I did NOT get the error on
shutdown , so far....so good!!
