MS IE V6 INSTALL

When trying to install MS IEv6 as an upgrade to MS IEv5 I receive an error box from Windows Update Setup advising me of:

"A previous installation has pending work requiring a reboot. You need to restart your computer to complete that installation before running Internet Explorer Setup. Setup will now close."

I've restarted numerous times, including a cold boot, but still cannot install MS IEv6. Any ideas or solution?
