MOBO or CPU? What do you think?

I have the Gigabyte 7S748-L with latest bios update and the AMD XP
2500 barton. I have a Cooler Master heat sink and fan, the one thats
tubular and blows evenly over the cpu, cpu grease, fan in the case
blows in and one blows out. The CPU temp is 80 degrees celsius, bios
and other motherboard monitoring software (MBM5 and Sandra).
There is no dust bunnies in the heat sink. I tried using what AMD
reccommends for heatsink and fan, but the system shut down at 90C
(motherboard failsafe) before windows could even load. I tried
putting a window fan on the side of the case but the cpu temp never
changed.
To fix it temporarily (I hope) is changed the cpu clock down to 100,
now my temps are in the low 70'sC which is still really high but
stable and my cpu is a 1.11 ghtz :(
Gigabyte tech support says theres no issues with that model board and
all they say is to try it in another board or try another cpu in my
board, which I dont have.
Waddaya think? CPU or Board?

Is the heatsink fan working ? Is it blowing in to the heatsink ? There is
something basically wrong at the Heatsink.
Is the heatsink fitted to the processor properly ? These are things I would
double check. I have heard of heatsinks installed on AMD processors
backwards, that is the heatsink must be turned in the proper direction when
placed on the processor.

What I'd bet is that the heatsink is on backwards.

Second bet would be poor thermal compound application.

CPU cooler (or installation) maybe. Coooler Master made some decent
coolers, but the older ones aren't very good for the newer cpu's. Look at
the link below and see if it has yours listed and give us a model number.

Did you just install the heatsink or build the system? If yes, the
heatsink isn't attached properly.

If this is a previously stable, cool running system that suddenly started
overheating... CPU.

I took the heatsink and fan off for another inspection, I think I over
did it with the grease. I wiped it clean and just put a small smear
on the cpu. Put everything back together, now my temps are in the low
40'sC idle. :)

Thanks everyone, you really saved me alot of time and aggrivation with
troubleshooting the cpu and board
