MDOS subsytem HELP!!!!

When I start up my pc, I now get an error that says
16 bit MS-DOS Subsystem
C:\PROGRA~1\COMMON~1\updmgr\updmgr.exe
C:\WINDOWS\SYSTEM32\AUTOEXEC.NT. The system file is not suitable for
running MS-DOS and microsoft windows applications. Chosse close to terminate
the application.


What does this mean? And how can I fix it??
Some one please help. I believe this is what is causing my system to just
shut down without reason.

updmgr.exe is a spyware app, running Kazaa?
tried google?
Download, update and run both Adaware and SpyBot, both free
Ensure win is updated, firewall on and you have a current AV app.

Thank you so much. I unfortunately did not have a file like this.
I did however find out a few things that fixed it. And thank you for the
info. I appreciate it!

updmgr.exe is Spyware!!

Process name: KeenValue.updmgr Adware
Product: Kazaa
Company: eUniverse.com
Part Of: eUniverse.com Spyware
File: updmgr.exe

"updmgr.exe" is adware. KeenValue.updmgr is an updater for eUniverse's
products (KeenValue, IncrediFind, PerfectNav).
You should remove it.

Description:
updmgr.exe is an advertising program by eUniverse.com. This process monitors
your browsing habits and distributes the data back to the author's servers
for analysis. This also prompts advertising popups. This program is a
registered security risk and should be removed immediately.
