You can do a clean install with an Upgrade version of XP providing you
satisfy the qualifying product demand. Why don't you use your XP Upgrade
version to do the clean install on the 98 system? Just use your 98 CD as a
qualifying product when prompted to do so. That way you simply enter the XP
Upgrade key during the install.

Now your XP Full version is available to be installed on another system
using it's own Product Key.

Your message is very confusing, but let me tell you the following:

1. There's no such thing as a "98-xp upgrade." An upgrade version
works with any of the qualifying previous version, and is never made
to upgrade from a specific previous version.

2. You can never use an Upgrade product key with a Full CD.

3. Despite what many people think, Upgrade versions *can* do clean
installations. The requirement to use an upgrade version is to *own* a
previous qualifying version's installation CD (with an OEM restore CD,
see below), not to have it installed. When setup doesn't find a
previous qualifying version installed, it will prompt you to insert
its CD as proof of ownership. Just insert the previous version's CD,
and follow the prompts. Everything proceeds quite normally and quite
legitimately.

You can also do a clean installation if you have an OEM restore CD of
a previous qualifying version. It's more complicated, but it *can* be
done. First restore from the Restore CD. Then run the XP upgrade CD
from within that restored system, and change from Upgrade to New
Install. When it asks where, press Esc to delete the partition and
start over.

No, that wouldn't work. Product Keys are bound to the specific type
and language of CD/license (OEM, Volume, retail, or full) with which
they are purchased. For example, a WinXP Home OEM Product Key won't
work for any retail version of WinXP Home, or for any version of WinXP
Pro, and vice versa. An OEM Product Key will not work to install a
retail product. An Italian Product Key will not work with an English
CD. Bottom line: Product Keys and CD/license types cannot usually (it's
been reported that the Product Key for a full license will work with an
Upgrade CD) be mixed & matched.

However, it's quite possible to perform a clean installation of WinXP
using the Upgrade CD, provided you have the true installation CD for the
earlier OS.

Simply boot from the WinXP Upgrade CD. You'll be offered the
opportunity to delete, create, and format partitions as part of the
installation process. The Upgrade CD checks to see if a qualifying OS
is installed, and, if it finds none, it asks you to insert the
installation media (CD) of that OS. Unfortunately, an OEM
"Recovery/Restore" CD will not work for this purpose; you must have a
true installation CD, complete with the "\Win98" folder and *.cab
files, or the "\i386" folder of WinNT/2K.

i wouldn't bother with wasting
time for anything pertaining to
98.

further, if you are trying to
upgrade a win98 machine to xp,
then you will likely have hardware
compatiability issues.

therefore, if you have a 98 machine,
then my suggestion is to leave
win98 on it.

what's the saying again? Oh yeah bollocks. Many systems that ran Windows 98
can be upgraded and run XP just fine.

Oh, pfui. I have an old PIII 900MHz IBM Thinkpad (from when Thinkpads
were still made by IBM) that originally came with Win98se. It's happily
running XP Pro sp3.

My AMD 600mhz original Athlon machine moved to XP - on an upgrade -
without a hitch and is still working just fine with no hardware
changes.
