kernel32.dll error kills upgrade from Win98 to Win2000

Trying for a month to install a Windows 2000 upgrade on a Compaq Presario with Windows 98. Keeps kicking me out of the install @ 80% with a kernel32.dll error causing a gpf and fails?

Help
 
Do a clean installation of Windows 2000 instead of an upgrade.
