Kernel Panic?

OK, I've done everything I can to resolve this. My CPU
keeps spiking to near-100% usage for no reason, with
nothing running. I have a screenshot of this happening on
a different chip. I removed my first chip and popped in a
2.8GHz chip, set the BIOS accordingly, and booted XP.
After about 15min, I went through a LONG series of CPU
spikes. The screenshot can be found at the link below.
All that was up was Trillian for ICQ chat, and Symantec
AntiVirus. Oh, ASUS Probe was running to monitor
temperatures and such. What the heck is causing this? It
is so bad that when a sound plays in Windows, it's
crackley and distorted. I have an Audigy II w/6.1
speakers for Christ's sake! Just idling in Windows should
NOT kill everything.

To more effectively analyze the problem you need to capture
the Processes tab of Taskmgr. There are a number of columns
you can add to help (VM Usage, PF Faults, CPU Time).
Looking at your taskbar, you seem to have a number of icons
representing Startups/Watchdogs running. The spikes could
also be the "Indexing" service running. Without more info, it's
difficult to guess where the "Loading" is coming from.
