IRQL NOT LESS OR EQUAL Problem

I have Win XP Pro installed few weeks ago. Everything is working well. But
since few days when I shut down my PC it restarts again. I disabled the auto
start feature and found that the system is reporting a malfunction:
"..... IRQL_NOT_LESS_OR_EQUAL .....
STOP: 0X0000000A, 0X000002CC, 0X000000FF, 0X00000000, 0X80523912 "
I disabled few of the hardware also removed the last hardwares installed. I
don't have any Roxio software installed. The PC is working fine, but is
annoying having the PC restarting every time I shut down. Give me some idea.
