Installing XP over 2000?

Are there any problems or disadvantages of installing windows XP over
windows 2000? Am I going to lose anything? Should I just back up
everything and format the hard drive and do a clean install of windows
XP instead?

"Installing over" implies either parallel or clean.
"Upgrade" is what I think you mean?

You will have to verify your hardware/software will work in Windows XP.

You will have to use Windows XP Professional. XP Home will not
install as an upgrade over Windows 2000.

And it will have to be either a Retail or Volume License version - OEM
versions will not do upgrade installs.
