Installing a program

I have a CD and when i try to load it onto Windows XP, it does not come up
with your typical options to start the installation and chose a path.
Instead, an error message comes up saying "C:\WINDOWS\SYSTEM32\AUTOEXEC.NT.
The system file is not suitable for running MS-DOS and Microsoft Windows
applications. Chose 'Close' to terminate the application." Your choices are
Close and Ignore. Neither choice results in an option to chose a different
path. When we try to load it manually, and chose a different path, we can't.
HELP.
