Installing a heatsink

I am installing a replacement heatsink assembly on an Intel motherboard
(D845PT) the heatsink assembly is also Intel (C91249-002)
http://www.shop-intel.com/shop/product.asp?pid=SIPS1040 . Neither,
although genuine, was purchased from Intel nor do either have
installation instructions.
The heatsink comes with "1 thermal film(pre-attached to heatsink)"
My question is do I still use thermal paste on the processor (between it
and this film) or not. Everything I find regarding pre-installed thermal
compound refers to 'thermal tape' or pre-attached 'thermal pad' as
opposed to 'thermal film'.
Any help please?

be sure to remove the protective tape over the film.
