You should perform a clean installation rather then an upgrade to Windows
2000. So yes, backup all of your important data and then boot from the
Windows XP cd. The installation is pretty user friendly and features step by
step confirmation all the way through it.

It depends on what version of the XP CD you have: if you have an Upgrade CD,
you can perform an upgrade from Win2k, but the Full version does not have
this option. Both CDs, however, have the ability to perform a clean
install. So, it's possible to do an upgrade, but in all honesty I always
recommend formatting and installing a clean OS; but maybe that's just me.

The full version does have the option to upgrade, unless it's an OEM disc.
But I agree a clean install is generally the best COA.

You can upgrade 2000 to XP Professional, but not XP Home.

Although many people will tell you that formatting and installing
cleanly is the best way to go, I disagree. Unlike with previous
versions of Windows, an upgrade to XP replaces almost everything,
and usually works very well.

My recommendation is to at least try the upgrade, since it's much
easier than a clean installation. You can always change your mind
and reinstall cleanly if problems develop.

However, don't assume that doing an upgrade relieves you of the
need to backup your data, etc. before beginning. Before starting
to upgrade, it's always prudent to recognize that things like a
sudden power loss can occur in the middle of it and cause the
loss of everything. For that reason you should make sure you have
backups and anything else you need to reinstall if the worst
happens.

what about a start-up disk?

You don't need one. Just boot from the XP installation CD.

No, not true. Both the Upgrade and Full version (of XP
Professional, not Home) will do upgrades. It's only the OEM
version which will not.

That is bogus advice. Upgrade installs of Windows XP work just fine
for the overwhelming majority of users.
