You can't install an English version of XP 'over' a Japanese version. You
will have to perform a 'Clean' install which means all files will be
deleted. You need to back up any data files that you might need at a later
time. You will also have to re-install all programs as well and make a
visit to Windows/Microsoft Update afterwards.

In addition to Will's response. Do you want to keep your Japanese version
of XP, you could create a dual-boot PC with both versions.

Only those that you want to save.

There's no "chance" involved\; everything will be deleted as part of
the installation of a new language version.

You cannot upgrade or convert from one language version of the OS to
another, so you'll have to purchase and use the full version of WinXP
(in whatever language you want) to perform a clean installation.
