In-place Upgrade Error

When trying to do an in-place upgrade of Win XP, I get a fatal error message.
The setup log says "Error: Setup had problems registering the following OLE
control DLL: c:\windows\system32\initpki.dll" I tried reinstalling several
times with the same resuls. Any help?

First off, what kind of shape is your CD in? Is it the original
MS CD or one you created? If you have mutiple cd/dvd drives,
switch the CD to your second drive and try again.

The only reference I could find to this sort of problem on the MS
site is for Win2k but may apply to your situation. The suggestion
was to upgrade the BIOS. Take a look here:
