iexplore.exe not shutting down

Each new IE window, including popups starts a new
instance of iexplore. I know that it is normal, but when
I click the X to close the window, thw window closes, but
the instance is still running and using memory in my task
manager. If I am browsing web pages, and open 4 windows,
then I have 4 instances of iexplore.exe running. If I
close all open windows, and even disconnect from the
Internet, I still have 4 instances of iexplore.exe
running. I have tried to download the latest version
from Microsoft (ie6setup.exe version 6.0.2800.1106).
This version comes with service pack 1. The setup will
not complete. I get the message that "a newer version of
this program is already installed", and it won't copy
over it.

Windows XP comes with a built-in firewall.

I appreciate the effort, but It did not work.. I went to
both sites, and they both told me that they did not find
any parasites on my machine. I have tried to go to Trend
Micro's HouseCall, but It causes an error, IE dies, and I
get prompted to send an error report. Any other
suggestions?
