How to overwrite current WinXP key/registration info?

Assume a (small) company which owns some WinXP licenses is split into two parts.

One of the partners took some of the WinXP computers/installations.
However there is still the license information of the former company embedded.

How can the partner overwrite the current license with a new license (including the key)
without having to re-install the whole WinXP?

If possible this should be done WITHOUT connecting Microsoft backend license computers.

Is this possible?

You should call Microsoft to get the new keys.

If the PC together with installation media for that PC is now owned by
someone else, then so is the license.
The embedded info you refer to may simply be the Company/other persons name.
The MS activation/backend contains no details of any owner
