Help! XP upgrade to Vista = BSOD, netbios.sys and DRIVER_IRQL_NOT_LESS...

Hi,

Am attempting to do an upgrade from XP Pro to Vista Ultimate. It got the
final restart to finish install and bluescreen'ed with:-

DRIVER_IRQL_NOT_LESS_OR_EQUAL
....
with netbios.sys address 8CE1BBDE and a bit more I didn't write down

System:
EVGA 680i (with bios P24)
Core 2 Duo E6600
MSI 8800GTX
2GB Corsair dominator (CM2X1024-6400C4D)

Any ideas please as the computer won't start and rollback doesn't work.
Loading Vista gets nearly to Windows but says:

"The computer restarted unexpectedly or encounted an unexpected error.
Windows installation cannot proceed. To install windows, click "OK" to
restart the computer, and then restart the installation."

....well I can't restart the installation as it keeps saying this message
above. The "repair windows..." option (when booting from the DVD) doesn't
help, the log says Windows started successfully so I'm confused???
