GPO Inheritence

I have tow OUs with two GPOs in windows 2003 Server.

Domain.com
OU-1
OU-2

Is it neccessary to select "block policy inheritence" and "No Override"
options for both OUs to make them work properly?

No. They follow each other and merge in the end. Following settings
override existing one (if the ydefine the same policy setting).
It´s like the way most applications work: Last writer wins.
