Giving a widows xp product to a friend

Hi Matthew,

Absolutely, retail licenses (full or upgrade) are fully transferable. It's
OEM licenses that are not (mostly preinstalled systems). He/she should be
made aware that they may have to phone in activation if it has been less
than 120 days since you activated it on your system. But they will be
allowed to use it, just make sure you give them the Product Key as well.

Provided it was a retail copy (which an upgrade one will be), and not
one of the OEM ones you can transfer it. OEM ones, sold with a piece of
hardware and marked 'for supply only with a new computer' are licensed
solely for the machine where they are first installed

For a retail one you simply remove from the present machine, and hand
over all materials (CD; Product Key; Cert of Authenticity and any
documentation), and the new owner installs on the new machine in the
regular way. When it comes to activation, if it is more than 120 days
since you last did it, he will find it will go through on the net just
like first time. If not, he will have to phone a toll-free number that
will be given, to explain and swap one long number for another to check
back on typing it in
