After upgrading to Windows XP from ME, I am unable to
open my a:\drive. A screen appears saying disk needs to
be formatted, even though it already is. If I click yes,
it says windows cannot continue formatting, if I click
no, it jumps to another program. I noticed that the file
system is FAT for this drive or the disks, but my
computer's file system is FAT32. Is this the problem? If
so, how do I change the floppy's file system to be
compatible?

In NT Explorer, try clicking on another drive (C:) and
then right clicking on the floppy. Select format from
there and it should work.

No. Note first of all that it's not true that your "computer's
file system is FAT32." Computers don't have file systems, drives
(or partitions) do. Windows XP can use combination of NTFS,
FAT32, FAT16, and FAT12, and all drives or partitions don't have
to be the same. All standard diskette drives are FAT12.
