Excel 97 Protection

I have an excel spreadsheet / template that was used by my
ex CFO. I have the password, but I cannot get into the
protection button as it is grayed out. The only button I
can click is the "protect shared workbook" butoon, which
doesn't help at all.

I want to take all protections off this workbook.

Try unsharing the workbook. Tools, Share Workbook and uncheck "Allow
changes.."
