I am 200 % sure that my D drive is formatted as NTFS.

Yet I cannot password protect my files or make the folders private.

That option is simply greyed out.

What am I missing ?

Windows XP does not have the capability to password-protect
an individual file or folder. Instead, read the following:

XP does not handle file protection by passwords, anyway

If you have XP Pro, then Folder Options - View - Uncheck 'Use Simple
File sharing'

Only possible to set in Home by booting to Safe mode initially
