error Opening VS.NET Solution

I am trying to open a VS.net Solution file named
racAppln.sln which contains two projects in it. When I try
to open this sln file in VS.NEt it gives me error "Unable
to retrieve files File from Web Server". and Solution
opens without the second project. In solution Explorer, it
shows the name of Project and status as Unavailable.
If anyone can help me I will be very thankful to all.

Could be a number of problems.. Things to check, here's some of the more
obvious..
IIS is running..
The virtual directory for the web app matches the name of the web project...
