Error Message to Setup

I'm trying to install Win XP Home upgrade over win 98. I
can't get past the error message #5A8FF58h. I've
searched the MS knowledgebase, but there are no results
for the error code.

I insert the disc,it asks to check for updates in the
internet, then after downloading the update, it errors
out to 5A8FF58h.
Anyone have an idea what this is? How can i upgrade 98
without losing all the installed programs on it?

Desparate help needed ASAP.
