What is "Ein XP"? The error code generally indicates a file copy process
error, have you disabled AV (or better, uninstalled it) and any other
running programs?

Bad typing from my side. Sorry for that.
I ment "Win(dows) XP" (Professional).
I have uninstalled Antivirus program and some other that Vista setup
required before upgrading but it seems does not help.
- I was not conected to internet while doing upgrade, does that affect
upgrading?

Ok, first you can't upgrade from XP Pro to Vista Home Premium directly, only
Business or Ultimate. You'd have to do a clean install to a new folder. Oh,
and AV=antivirus software, so you've already done that. You do not need to
be connected to the internet to perform the install (and in fact, you
shouldn't be).
