Here is my problem:
I have two HDD, first with Win98 SE, and second with
Win XP and I have dual boot system (i can choose which OS
to start!). And both HDD uses FAT32. How to convert the
harddisk on which is WinXP to NTFS file system and keep
current files on this disk (and of course keep my dual
boot system) ? Can anyone help me!

If you convert your disk to NTFS, you will be unable to boot Win98SE
as Win9X can not "see" NTFS. The boot files for both XP and 98SE are
located on Drive 0 (your master HDD).

To setup a dual boot where XP is using NTFS and 98SE FAT-32, you
probably should use a boot manager. Take a look at BootIt Next
Generation www.terabyteunlimited.com.

I currently use BootIt Next Generation to dual boot between my two
hard drives - one is NTFS, the other FAT-32.

Actually converting the drive with XP installed to NTFS will not affect the
XP boot loader. From the way I read the post the boot files are on the
partition with 98. I am not a fan of conversion to NTFS of the system
partition after setup using the XP conversion utility. Better to use third
party software.

Greetings --

Converting the drive on which WinXP is installed will not affect
the Win98 drive or your dual-boot capability. Just make sure you
convert the correct drive! ;-}

You can safely convert your hard drive to NTFS whenever desired,
without having to format the partition and reinstall everything. As
always when performing any serious changes, back up any important data
before proceeding, just in case. A little advance preparation is also
strongly recommended, so you can avoid any performance hits caused by
the default cluster size:

You have to leave the drive that gets booted initially - with the
boot.ini, ntldr and the Win98 system on - as FAT 32. You can convert
the other (probably D:) to NTFS - see www.aumha.org/win5/a/ntfscvt.htm
