i've seen a lot about upgrading, but how do you DOWNgrade
from windows 2000 professional to windows 98 SE? is it
easy to do? anyone know? any help would be appreciated.
we've never had problems with 98..but this 2000 thing is
using lots of memory and cpu and it's just nasty. thanks
in advance.

.

Clean install is the only way.

If you try to run applications that were not made for Windows 2000 then you'll experience what you are experiencing. DOS applications are notoroius for this. So either update those applications if possible or reinstall Windows 98SE on a reformatted or new harddrive. There is no such thing as a successful "downgrade" of an operating system.
