Does the Licensing Server have to be running on the DC?

We have a server running Win2K Advanced Server. It is currently a DC (with
the FSMO roles) as well as our Exchange server). We want to DCPROMO it back
to an AS. We have another DC set up and ready for the FSMO roles.

Currently this server is also the Terminal Services Licensing Server. Can
that service stay on the server or does it have to be on a DC? If I have to
move it, do I need to contact the clearing house?

1. Terminal Services Licensing Server should be installed on DC
2. when you move it , you should contact with the clearing house
