Hi,
I have a retail copy of Vista which I wish to "deactivate" because I have an
OEM "upgrade" version from XP to Vista from my laptop manufacturer which I
wish to install and I want to sell the retail version.

How does one "deactivate" the retail copy of Vista?
TIA

There is no way to "deactivate".
If you remove Vista and install it on another computer, you will have to
activate it again, probably via telephone.

You don't need to 'deactivate' it, just uninstall it from, your PC. When you
sell it just mention to the buyer that the software had originally been
activated and that, when they install it, they may have to choose telephone
activation to get the product activated. This certainly isn't a problem.
Having said all that, I would much prefer the Retail version over the OEM
upgrade. The OEM copy cannot be moved to another computer, whereas a retail
copy can.

No de-activation process, just format the computer its currently installed
on, when you install it on a new Computer, use the automated phone option to
activate or hold for a live person since it will say its already activated.
