Convert 97 to 2002 Database

I have converted a couple of Databases but this one is a little funny. When I
go to Tools> Database Utilities> Convert Database. Convert Database is Grayed
out. Is that becasue it is not fully installed?

Is it an .mdb file or an .mde file?
