conditional formatting grayed out on drop down

I don't understand why my conditional formatting is
grayed out. Does anyone know why it would be grayed
out? I have conditional formatting in another sheet of
this workbook, but I can't access this formatting eithor.
Please help.

Is it a shared workbook? Look up 'Limitations of shared workbooks' in help.
