Click on Shut Down but Computer re-starts

Hello everyone,

OS = XP Pro
Computer is connected to a corp. network
Problem: When I click on Shut down the computer appears to power down,
however, after a few seconds the computer starts up again? If I wait and
press Ctrl, Alt & Del then select Shut Down the computer shuts down and
powers off OK every time. If I logon to the computer and select shut down
it will simply shut down for a few seconds and re-start. This is
reproducible :(

History: This all started after I removed a 3com NIC and installed a new
3com 1GHz NIC.

Thanks in advance for ANY help with this aggravating problem
