can "upgrade" do a clean install?

with the "Upgrade" version of XP...
I can do a clean install?

Or will it only install OVER my WinME... bringing all the
WinME problems with it?

Yes, if you have proper qualifying media, OEM restore disks will not
qualify.
You boot from the CD and do a clean install.

If your ME CD is a retail one (with a Win9x folder containing .cab
files) you can show that to the setup as evidence, when you have booted
the XP CD and in New Install, hit ESC and delete the present partition
to create a new one and start clean. Put the CD in the drive when asked
where Windows is.

If it is not such a CD you will have to start from a restored ME, run
the XP CD from that, but change Upgrade to new install. Follow the same
ESC- delete - create - by that point it will have checked for
eligibility

FWIW, I believe one should attempt an upgrade first. It's a whole lot simpler
and less stressful. I just upgraded a really unstable Me box to XP Home(taking
all the appropriate precautions) and so far(almost 2 weeks), they've not yet
had so much as a hiccup, leave alone a BSOD. Fingers still crossed but it looks
good.
