autoexex.nt. error message please help

When I open up certain programs such as 3ds max 5, I recieve the error
message -
c:\windows\system32\autoexec.nt. the system file is not suitable for running
ms-dos amd microsoft windows application.

Tried reinstalling 3ds max 5. no change. It doesnt seem to affect my machine
in any way its just annoying. Sure my hardware has nothing to do with it but
here are my details anyway. please help. thanks

xp pro service pack 2
amd 64 3000+
ati radeon 9600 xt
160gb sata hdd
abit kv8 pro m/b
512mb pc3200
