Any downside to reformatting HD from fat32 to ntfs?

I have an external hard drive I'd like to use mainly for system backup
using Ntbackup. The HD came formtted for FAT32, meaning Ntbackup
stops when the file size reaches 4gb. I know the procedure for
reformatting the HD to ntfs, but wondered if there was any reason NOT
to do so.

If you have a dual booting operating system and one of the OS uses FAT32,
you will not be able to access the NTFS drive and/or partition from the
FAT32 OS such as Win 98.
