ACTIVATION????

My dad gave me an XP upgrade disk, he used it on an e-
machine, but went back to Me. Can I put this upgrade on my
computer without any comflict?
 
Most likely, yes.
If it's retail copy of XP, then the license can be transferred to any
machine as long as it's no longer installed on another machine. Internet
activation may fail, but you'll be given a number to call if it does.
Explain the situation, and you'll be given an activation code.

If it's an OEM copy of Windows XP, then it cannot be transferred to any
computer other than the first computer it was installed on.

Provided it has been removed from the first machine, you can install it
on a new one (An upgrade one will be a retail one, not one of the OEM
ones licensed solely for the first machine). So go ahead and install.
When it comes to activation, if it is more than 120 days since it was
last done, you will find it will go through on the net just like first
time. If not, which sounds more likely, you will have to phone a
toll-free number that will be given, to explain and swap one long number
for another to check back as you type it in
