XP upgrade Unknown hard error

I am trying to install XP upgrade on my computer which
runs 98 SE. It gets to the point where the installation is
finished but when booting from the hard disk, the message
on blue screen says
STOP: C0000221 UNKNOWN HARD ERROR \SystemRoot\System32
\ntdll.dll

All four l's in the message look like ] without the
bottom line.

Three install efforts have given the same result.

hate to tell you, but last time I saw that error message, it was on my
friend's laptop right before the hard disk suffered a fatal crash. she had
to have it replaced and lost all her data.

BACK UP ANY DOCUMENTS, ETC. YOU CAN WHILE YOU STILL HAVE THE ABILITY.

If it's a desktop, you may even want to take it to another computer and run
the HD as a second drive and copy files that way.

i hope it's not serious, but if it is, take drastic steps if you still have
valuable data on there.
