xp does not shut down

problem: xp pro does not shut down. after initiating the
shut down command the user log out occurs properly and
then the systems hangs (indefinitely) at the "system
shutting down" screen. i have noticed the processor
cycling at full load. start up etc is no problem, but the
automatice web updates don't work half of the time (same
stall out).

information: xp pro version is fully updated and patched -
which may be part of the problem since this problem
started with the KB828035 patch. all ususal suspects (usb
hubs and ports, norton anti-virus, encryption software)
checked out negative. tested shut down with all non-
windows apps killed off but problem persists. my guesses
are xo pro is looking for some information (user switching
issue?)
