using a cross-over cable to connect amd and celeron.
the green light is on when the computers are both on, and it represents an
active link (i assume since next to the green light it says "link" and the
orange light says "act").

yeah, when i ran the network setup wizard on amd i chose: "This computer
connects directly to the Internet. The other computers on my network connect
to the Internet through this computer". but i couldnt run the network setup
wizard on celeron. it said that the wizard wasnt compatible with windows 2000.
So you are saying that both green and orange are on, on both computers? With
cable plugged in only? How about with cable unplugged?
Sounds fishy.
1) You ran network setup wizard, and chose the correct option.
2) You connected a cross-over cable.
3) Lights indicate "active" and "link".
4) You have Autoconfig and DHCP Client enabled on celeron.
5) Celeron shows an APIPA address.
6) Amd shows "Media disconnected".
Well, you're right - you can't run the wizard on Windows 2000. But Celeron is
configured anyway. All it needs is an IP address, which it should get if it
connects to Amd.
It has to be either:
1) Bad network card.
2) Bad cable.
3) Bad network drivers.
Try:
1) Run DM Troubleshooter on both computers.
2) Get another cross-over cable, or make sure that this one works, test with
another computer or something.
3) Un install (in Device Manager) and re install (re boot computer) network
cards on both computers.
