On a windows 98 machine,at startup there is a
message "Unable to find C:\Windows\sysocmgr.exe". I found
that this is a Windows 2000 tool...why is win 98 looking
for it? Sure could use some help!!!

Its probably looking for it because its been asked to execute it. Sysocmgr
is a component installer for W2K unattended installations and is often used
in batch files. Since no information is given pertaining to past history of
this Win9x system and what network environment applies here, verify your
Startup folder and registry Run keys.
