Reselling XP Pro Retail Version

Is this legal? I do not have it installed on any machine and do not have a
copy of it. I personally purchased it new for my office pc. Then we received
new pc's with XP Pro OEM. So I don't need the retail version anymore. I've
read conflicting information regarding this.

You can sell your retail version to another party as long as
you do not have it installed on any of your computers. Take a
look at section 14 of the EULA, Software Transfer.

Yes, you may sell it, if it's a retail version and it's not installed on any
machine. The only restriction against reselling is on OEM copies, which are
permanently bound to the first computer they are installed on.

Thanks for the information. Do you know should a party buy the software, is
there anything they should know regarind re-registering it?

If it's been less than 120 days since the software was last
installed and activated, they may need to use the phone
activation option. Usually this procedure should take no more
than 5 minutes. All they need to do is state that they are
moving a retail version to another computer.

If it's been more than 120 days, they should be able to
activate over the internet automatically.

Rgistration is *always* entirely optional, and is used by Microsoft only for
marketing p[urposes. You are perhaps thinking of "activation" which is
manditory.

If it's been over 120 days since the last activation, it should activate
over the internet just as it did the first time. If fewer than 120 days, the
buyer will be prompted to activate via voice phone call to an 800 number,
but that's also quick and easy.
